These Research Use Only Terms (“RUO Terms”) apply to every purchase of, and every request for access to, products designated “Research Use Only” (“RUO Products”) from [COMPANY LEGAL NAME] (“NovaSciences RX”, “we”, “us” or “our”). They supplement our Terms of Service. If they conflict, these RUO Terms govern RUO Products. You must accept these RUO Terms before you can sign in to or register for RUO access.
1. Your Acknowledgments and Representations
By accepting these RUO Terms, you represent, warrant and agree that:
- You are at least [21] years of age and have the legal capacity to enter into this agreement on behalf of yourself and any organization you represent.
- RUO Products are intended solely for in-vitro laboratory research and investigational use by qualified persons.
- RUO Products are not for human or veterinary use, are not for human consumption, and are not drugs, foods, dietary supplements, cosmetics or medical devices. They have not been approved or evaluated by the U.S. Food and Drug Administration for any purpose.
- You will not administer RUO Products to humans or animals, or use them for any diagnostic, therapeutic, cosmetic or nutritional purpose.
- You will not resell, relabel, repackage, distribute or market RUO Products for human or animal use, or make any health, therapeutic or dosing claims about them.
- You or your personnel are qualified by training and experience to handle research chemicals safely, and you will store, handle and dispose of RUO Products in accordance with applicable safety data, laboratory practices and law.
- You will comply with all applicable federal, state and local laws and regulations relating to the purchase, possession, use, transport and disposal of RUO Products.
- The information you provide to us is true, accurate and complete.
2. Product Information
Any product information, certificate of analysis or documentation we provide describes the product as supplied and is for research reference only. It is not a recommendation or instruction for any use in humans or animals.
3. Account Approval
RUO access requires an approved account. We may approve, decline, suspend or terminate RUO access at our discretion, including if we believe an RUO Product may be used contrary to these RUO Terms. We may refuse or cancel any order.
4. Assumption of Risk
You assume all risks associated with the purchase, handling, storage, use and disposal of RUO Products. RUO Products are sold without any warranty other than that they conform to their stated specifications at the time of shipment.
5. Indemnification
You will defend, indemnify and hold harmless NovaSciences RX and its affiliates, suppliers, officers, employees and agents from any claims, damages, losses, liabilities, penalties and expenses (including reasonable attorneys’ fees) arising out of or relating to your purchase, handling, use or misuse of RUO Products, your breach of these RUO Terms or your violation of any law.
6. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim relating to an RUO Product will not exceed the amount you paid for that product. We are not liable for any indirect, incidental, consequential or punitive damages.
7. Record of Acceptance
You agree that clicking “I Agree” (or a similar button) constitutes your electronic signature and acceptance of these RUO Terms. We record the date and time of acceptance, your IP address, browser information and the version of these RUO Terms you accepted, and may rely on that record as evidence of your agreement. We may ask you to accept these RUO Terms again at checkout or when they are updated.
8. Changes
We may update these RUO Terms. The updated version will have a new version number and effective date, and you must accept it before further RUO access or purchases.
9. Governing Law
These RUO Terms are governed by the laws of the State of [STATE]. Disputes are subject to the dispute resolution provisions of our Terms of Service.
